NOTE: This is a complete working draft prepared for submission to a lawyer for review before publication. It is
built on current applicable rules (Polish Civil Code, the Polish Consumer Rights Act implementing EU Directive
2011/83/EU, and the EU Battery Regulation), but it is not a substitute for legal advice. Sections marked with an
orange "RECOMMENDED LEGAL REVIEW" box are higher-risk areas (notably the custom-goods withdrawal
exclusion and the liability limitation); worth having reviewed first.
1. General Information
These Terms & Conditions ("Terms") govern the use of the online shop available at falbatech.click (the "Shop") and
the conclusion and performance of sales contracts made through it.
The Shop is owned and operated by FalbaTech Jan Jakub Falba, a sole proprietor registered in Poland, with its
registered address at Cibórz 2, 13-230 Lidzbark, Warmińsko-Mazurskie Voivodeship, Poland, tax identification
number (NIP): PL571-166-34-76, REGON: 281594214, registered in the Polish BDO waste register under number:
000530520 ("Seller", "we", "us").

These Terms apply to both consumers and business customers using the Shop, unless a specific provision states
that it applies only to one of these groups.
"Customer" means any person or entity purchasing through the Shop; "Consumer" means a Customer who is a
natural person entering into a contract not directly related to their trade, business, craft, or profession; "Product"
means an item offered in the Shop; "Order" means a Customer's declaration of intent to enter into a sales contract;
"Business Day" means Monday to Friday, excluding public holidays in Poland.
2. Products and Custom Manufacturing
The Shop offers products made wholly or partly by hand from natural wood, components produced using 3D
printing technology, and battery-powered devices, each as described on the relevant product page.
A significant portion of the Products is manufactured individually to the Customer's specification (e.g. dimensions,
colour, engraving, personalisation). Rules specific to such Products are set out separately in Section 11.
Photos and descriptions in the Shop are for illustration purposes. Because of the natural origin of the materials
used and the nature of the manufacturing methods, the actual appearance of a Product may differ slightly from its
presentation in the Shop (see Section 14 for details).
3. Orders
Orders can be placed through the order form available in the Shop, 24 hours a day.
Placing an Order constitutes an offer to enter into a sales contract. The contract is concluded once the Seller
confirms acceptance of the Order (by e-mail or in the Shop) and payment has been received, unless stated
otherwise in these Terms or in the relevant Product description.
The Seller reserves the right to refuse to fulfil an Order, in whole or in part, where: the material needed to make
the Product is unavailable, there is an obvious error in the Product's description or price visible at the time the
Order was placed, or the Customer's details cannot be verified. The Customer will be informed promptly of any
such refusal, and any payment made will be refunded in full.
4. Pricing and Taxes
Prices shown in the Shop are gross prices and include VAT in accordance with applicable Polish law, unless stated
otherwise for a specific Product.

Prices do not include any customs duties or import taxes that may become payable in the destination country
outside the European Union (see Section 8).
The Seller reserves the right to change Product prices, introduce new Products, and run or withdraw promotions.
Such changes do not affect Orders already placed.
5. Payments (Stripe / PayPal)
Payments are processed electronically through third-party payment providers (Stripe and PayPal), in accordance
with their respective terms of service.
Because many Products are manufactured to individual order, the Seller reserves the right to require full or partial
prepayment before production begins.
The Seller does not store Customers' payment card details; such data is processed solely by the payment providers.
6. Estimated Production Time
The standard estimated production time for a Product is 2-14 business days, counted from the date payment is
received or the date the Customer confirms personalisation details, whichever is later.
Because Products are made largely by hand by a single craftsperson, production time may be extended in justified
circumstances (e.g. illness, unforeseen events, a high volume of orders, or material availability). The Customer will
be notified of any significant delay as soon as it becomes apparent, together with a revised estimated timeframe.
An extension of the production time for the reasons above does not, by itself, constitute a breach of the sales
contract; however, Consumers retain any statutory rights arising from a significant failure to deliver within a
reasonable time.
RECOMMENDED LEGAL REVIEW: The delay clause is fair, but shouldn't function as a blanket excuse for any delay.
Consider adding an outer cap (e.g. "no more than X additional business days, of which the Customer will be notified")
so it can't be read as open-ended.
7. Shipping
The Seller ships Products to Poland, the rest of the European Union, and worldwide, using selected carriers.
Shipping cost and estimated delivery time are shown to the Customer before the Order is placed and depend on
the destination country and chosen shipping method.
For Consumers, the risk of accidental loss or damage to the Product passes to the Consumer upon delivery of the
Product to the Consumer. For business Customers, risk passes upon handover of the Product to the carrier.
8. Customs & Import Duties
When a Product is shipped outside the European Union, the Customer acts as the importer of record and may be
required to pay customs duties, import VAT/tax, or other charges levied under the law of the destination country.
Such charges are set by the destination country, not by the Seller, and are outside the Seller's control. Customers
are advised to check the applicable rules in their country before placing an Order.
If a Customer refuses delivery because of customs duties or import taxes due, the Seller will refund the Product
price less the shipping costs actually incurred and the cost of returning the parcel to the Seller.
9. Cancellations
A Customer may cancel an Order free of charge provided the Seller has not yet begun production.
Once production of a custom-made Product has begun, cancellation may result in a deduction for costs already
incurred by the Seller (e.g. materials, labour). Any such deduction will correspond to actual, documented costs and
will be disclosed to the Customer.

This provision does not affect a Consumer's statutory right of withdrawal where such a right applies (see Sections
10 and 11).
RECOMMENDED LEGAL REVIEW: Any deduction for costs already incurred when a custom order is cancelled mid-
production needs to be proportionate and tied to real, documented costs. A flat percentage deduction unconnected to
actual costs could be challenged as unfair to consumers, particularly under EU/UK consumer law. Worth confirming
the exact mechanism with a lawyer.
10. Returns & Right of Withdrawal
Consumers located in the European Union who conclude a distance contract with the Seller have the right to
withdraw from that contract within 14 days without giving any reason, subject to the exceptions in Section 11
concerning custom-made Products.
The withdrawal period runs from the day the Consumer (or a third party indicated by the Consumer, other than the
carrier) takes physical possession of the Product.
To exercise the right of withdrawal, the Consumer must inform the Seller of their decision by an unambiguous
statement (e.g. an e-mail to the address in Section 1) before the withdrawal period expires.
The Consumer must return the Product to the Seller without undue delay, and in any event no later than 14 days
from the day on which they informed the Seller of the withdrawal. The direct cost of returning the Product is borne
by the Consumer.
The Seller will reimburse all payments received from the Consumer without undue delay, and in any event within
14 days of receiving the withdrawal notice, using the same means of payment the Consumer used, unless the
Consumer expressly agrees otherwise.
The Seller may withhold reimbursement until the Product has been received back, or the Consumer has supplied
evidence of having sent it back, whichever is earlier.
Customers outside the European Union should note that statutory withdrawal/return rights vary by jurisdiction;
where no mandatory local right applies, the Seller applies the above policy as a voluntary goodwill practice unless
stated otherwise at checkout.
11. Custom-made Products
Under Article 16(c) of EU Directive 2011/83/EU on consumer rights (implemented in Poland by Article 38(3) of the
Act of 30 May 2014 on Consumer Rights), the right of withdrawal does not apply to contracts for the supply of
goods made to the consumer's specifications or clearly personalised.
The Seller indicates on each Product's listing whether that Product (or a selected variant) qualifies as personalised
goods covered by this exception, in particular where dimensions, colour, engraving, or other features are
individually specified by the Customer in the order form.
Before completing payment for a personalised Product, the Customer is informed that, due to its custom nature,
the right of withdrawal does not apply, and is required to separately acknowledge this before the Order can be
placed.
This exclusion does not affect the Consumer's statutory rights relating to defective or non-conforming goods,
described in Section 12. Excluding the right of withdrawal does not exclude the Seller's liability for defects.
RECOMMENDED LEGAL REVIEW: This is one of the most important sections in the whole document, since custom
orders are the core of the business. Both EU and Polish consumer authorities require the specific personalisation to be
clearly documented on the product listing itself, not just asserted generically in the Terms. A generic clause alone may
not hold up if the listing doesn't back it up. Strongly worth a lawyer's review before scaling this up, since this is the
single most common source of consumer disputes for shops like this.

12. Warranty (Statutory Conformity)
For Consumers in the EU, the Seller is liable for any lack of conformity of the Product that exists at the time of
delivery and becomes apparent within two years of that date, in accordance with applicable EU and Polish
consumer protection law, unless a longer durability period is stated for a specific Product.
Claims can be submitted by e-mail to the address in Section 1, describing the defect and the remedy sought. The
Seller will respond to a Consumer's claim within 14 days of receipt.
Customers outside the EU are advised that statutory warranty/conformity rules differ by country (for example,
under the US Magnuson-Moss Warranty Act or applicable state law); nothing in these Terms limits any non-
waivable statutory rights a Customer may have under the law of their own country.
For business Customers, the Seller's liability under warranty is excluded to the extent permitted by applicable law.
13. Battery Warranty
Products containing a battery or rechargeable cell are covered by the warranty period stated on the relevant
Product listing, in addition to any statutory conformity rights described in Section 12.
Gradual loss of battery capacity over time and charge cycles is normal wear and is not covered by the warranty or
treated as a lack of conformity, unless it occurs in a manner clearly inconsistent with the typical performance of
that battery type.
In accordance with EU Regulation 2023/1542 on batteries and waste batteries, the Seller provides, for Products
containing a battery, information on the battery category, chemical composition, and take-back/recycling
arrangements for waste batteries; batteries should not be disposed of with household waste.
RECOMMENDED LEGAL REVIEW: This regulation's information duties are being phased in through 2026-2027 and are
still evolving. Separately, the Seller is already registered in Poland's BDO waste register under number 000530520,
which is a good starting point, but it is worth confirming with an accountant or environmental compliance advisor
whether that registration's scope covers the battery category specifically, and whether annual reporting already
reflects the expanded battery information duties. That sits outside the scope of a shop's Terms page.
14. Natural Wood & 3D Printing Disclaimer
Wood is a natural material: grain pattern, colour shade, small knots, and other natural characteristics can vary
between individual units of the same Product and are not defects. Wood may slightly expand or contract with
changes in humidity and temperature, so the Seller recommends following any care instructions supplied with the
Product.
Components produced by 3D printing may show visible print layers/lines and minor surface imperfections typical
of the method, and dimensions may vary from nominal values within normal manufacturing tolerances. This does
not constitute a defect provided it does not affect the Product's described functionality.
15. Limitation of Liability
To the extent permitted by applicable law, the Seller's liability toward business Customers is limited to the price
paid for the Product giving rise to the claim and excludes indirect or consequential loss.
Nothing in these Terms excludes or limits the Seller's liability toward a Consumer to the extent such exclusion or
limitation would be unlawful under mandatory consumer protection law, in particular liability for intentional harm,
for death or personal injury, or for statutory warranty/conformity rights, which is not excluded or limited.
RECOMMENDED LEGAL REVIEW: Liability limitations against consumers are narrow in practice. EU and Polish law
does not allow excluding liability for gross negligence, personal injury, or statutory conformity rights, and many US
states restrict "as-is" disclaimers for consumer goods too. This clause is written with that in mind, but it's exactly the
kind of clause a lawyer should check first, since an overreaching limitation clause is often read as bad faith even where
the excess wording would simply be unenforceable rather than harmless.

16. Governing Law
These Terms and any sales contract concluded through the Shop are governed by Polish law.
Where the Consumer is habitually resident in another EU member state, the choice of Polish law does not deprive
the Consumer of the protection afforded by provisions that cannot be derogated from by agreement under the law
of that other state.
Disputes with business Customers will be subject to the exclusive jurisdiction of the courts having jurisdiction over
the Seller's registered address in Poland.
EU-resident Consumers may seek out-of-court resolution of complaints through their national consumer
protection body or local consumer ombudsman. Please note that the EU's online dispute resolution (ODR)
platform was discontinued on 20 July 2025 and is no longer available.
RECOMMENDED LEGAL REVIEW: The Seller's registered address (Lidzbark, Działdowo county, Warmińsko-Mazurskie
Voivodeship, Poland) points to the Poviat Consumer Ombudsman in Działdowo and the Provincial Trade Inspectorate
in Olsztyn as the relevant local bodies. Worth confirming current contact details for both with a lawyer before this goes
live, and separately noting that enforcement bodies for non-EU customers (US, UK, etc.) differ and aren't covered by
this clause.
